Steps of set up a new Hong Kong Limited Company :
- Decide on your preferred company name(s).
- Fill in the Online Application Form (click here) and return to us.
(either email to [email protected] or fax (24 hours) to (852) 2854 1788)
together with copy of identity card or passport and proof of residential address of all shareholder(s), director(s) and company secretary. - We will check whether the proposed company name is available for registration.
- We will contact client for identity verification.
- After checking your application documents, we will email fee note to you for settlement.
- We will prepare official documents within two hours after we have received your payment.
- You can come to our office to sign the official documents, or we can email the documents to you for signing.
- If official documents is not signed at our office, client need to send the original signed official documents to our office for filing.
- We will submit the orginial signed official documents to Companies Registry.
- All company documents and Green box set are ready
(Brand-new company will be ready in approximately 7 working days, subject to the approval time required by the Companies Registry) - We will notify you once the company is incorporated.

Note 1 - Company Secretarial Services Package (includes government fee of HK$105)
- Our company secretarial department is lead by Qualified Chartered Secretary of Hong Kong and Chartered Governance Professional. Therefore, you can be assured that your company's compliance will be properly managed.
- Profit Accounting Co Ltd acting as Company Secretary for your company until the anniversary date of your company.
- We will prepare and file the Annual Return (NAR1 Form) to Companies Registry.
- We maintain and update your company's Register of members, Register of directors and Register of company secretary
- We will provide advice of company's secretarial matters for your company.
- We charge separately on all extra services that we have to carry out in the capacity of your company secretary.
Note 2- Designated Representative service and Significant Controllers Register ("SCR") service
From 1 March 2018, a Hong Kong incorporated company must designate one person as its representative to provide assistance relating to the company's Significant Controllers Register to a law enforcement officer. Also, a Hong Kong incorporated company must keep its SCR at the company's registered office or a place in Hong Kong, and allowing inspection by law enforcement officer.

Note 4 - Arrangement of bank account opening meeting
- Nowadays in Hong Kong, it normally can take up to one week to make an appointment with the bank for bank account opening.
- However, with our network and the long-term relationship with the banks. We can assist and expedite in arranging bank account opening at HSBC and Airwallex.
- Our company formation package service fee does not include bank account opening fee charged by the bank.
- Bank account opening is the bank's commercial decision. Our firm does not guarantee the successful of bank account opening.
FAQ about Company Formation in Hong Kong :
Company debt limited:
The "limited" in a limited company means that shareholders bear limited liability (Limited Liability). The shareholders' monetary liability is limited to the value of the shares, and the company's debts are completely independent of individuals (shareholders). If a limited company runs into financial difficulties and needs to close down, or if the company is insolvent, it can apply to wind up the company. Unless a shareholder guarantees the company in his or her personal name, the shareholder does not have to sell personal assets to pay the company's debts.
Tax benefits:
Hong Kong has relatively low tax rates, with a maximum corporate profit tax of 16.5%, and only profits from local sources are taxed. The first installment of net assessable profit after deducting allowable tax is HK$2 million, subject to profits tax of 8.25%.

Shareholders : Any person or entity (including non-Hong Kong residents) can be a shareholder of a Hong Kong company. This means you can register a company in Hong Kong without having to reside in Hong Kong.
Directors: Directors of a Hong Kong company can be non-Hong Kong residents. According to the Companies Ordinance, at least one director must be a natural person, and there is no mandatory requirement for him or her to be a Hong Kong resident.
Address requirement: If the director or shareholder is a non-Hong Kong resident, it is recommended to provide an address that can be used for company registration and ensure that it can receive official documents related to the company.The address of a registered Hong Kong company must be located in Hong Kong and can be a shop, commercial building or ground floor store. In Hong Kong, according to the Companies Ordinance, the qualification requirements for company secretaries are as follows:
Identity requirements: The company secretary can be a natural person or a legal person (such as a company).Natural person qualification: If the company secretary is a natural person, he must be at least 18 years old and must be a person who ordinarily resides in Hong Kong. If the shareholder and director are not the same person, one of them can be appointed as the company secretary. If the only director is the same person, then a third person needs to be appointed as the company secretary. The position of company secretary cannot be held by the sole director of the company.
Professional Qualifications: A company secretary is usually required to possess relevant professional qualifications or experience, such as accounting or legal professional qualifications recognized by the Hong Kong Institute of Certified Public Accountants.
